The framework can be used as a starting point when the IT industry and a PR agency want to create a recurring relationship. It separates editorial, media buying, embargo and transparency.
This is a business framework and should be legally reviewed before being used as a binding agreement.
Memorandum of Understanding · PR Agency Partnership
1. Purpose & scope
The parties intend to establish a professional and recurring working relationship around press materials, editorial pitches, expert contacts and possible commercial media purchases. The agreement does not imply exclusivity unless this is stated separately.
2. Editorial guidelines & earned media
The PR agency may submit press releases, news pitches, reports, expert proposals and other editorial material without a publication fee. IT-Branschen retains full editorial control over whether material is published, how it is angled, headlined, edited or rejected. No earned placement is guaranteed.
3. Media Buying & agency terms
For paid campaigns, the parties may agree on special agency rates, volume discounts, annual frames or packaged solutions for native advertising, banners, newsletters, events, lead generation, whitepapers and other commercial formats. Terms and prices are set out in a separate quote or order confirmation.
4. Embargo & confidentiality
Material that is explicitly marked with embargo will be treated confidentially until the date and time specified. The agency is responsible for clearly stating the embargo, time zone, and any restrictions. Separate NDAs may be used for particularly sensitive information.
5. Transparency & labeling
All sponsored, paid or commercial content must be clearly marked according to the IT Industry's publishing principles and applicable rules. Editorial content should not be conditioned by paid advertising.
6. Contact methods & work process
The parties designate primary contacts. The agency can share editorial planning, embargo calendar, and upcoming client launches with reasonable notice. The IT industry can prioritize the assessment of relevant material from established relationships without guaranteeing publication.
7. Validity & termination
The framework is valid from the agreed date and can be terminated by either party with written notice. Ongoing commercial orders are regulated according to the respective order or quotation.
